Basic Policy on Procurement

The Nitto Group fulfills its corporate social responsibility in procurement activities so as to be a company trusted and chosen by our stakeholders, including our customers and partners.

Transactions

  • We open the door to all our partners throughout the world and create an environment that promotes fair proposals.
  • The selection of business partners is based on an impartial, fair, and comprehensive judgment that takes into account price, delivery dates, stable supply, and technology, etc. on the assumption that consideration has been given to thorough safety measures and to the environment, and that quality is assured.
  • Transactions with partners are conducted on an equal and fair basis.
  • We seek to establish true partnerships for prosperous coexistence based on trust and cooperation.

Compliance with the Law and Ethics

  • We proactively procure materials produced and distributed in an environment that respects workers’ human rights and takes the safety of the working environment into consideration. We do not approve of violations of human rights, including forced labor, child labor, or any type of discrimination.
  • We promote the procurement of materials that do not contain conflict minerals.
  • When engaging in procurement activities, we comply with the laws and regulations and social norms of the countries concerned.
  • Persons engaged in procurement activities shall act pursuant to the Action Guidelines and the Nitto Group Business Conduct Guidelines.

Protection of the Global Environment (Green Procurement)

  • We promote the procurement of materials with less environmental loads that take resource conservation and energy saving into consideration in order to effectively use limited resources and energy, and minimize the impact on the natural environment.
  • We endeavor to identify substances contained in materials in order to prohibit and reduce the use of hazardous chemical substances and to suppress emissions.

Information Management

  • We appropriately manage information obtained through procurement activities and maintain the confidentiality thereof.

Action Guideline

Every member engaged in procurement activities for the Nitto Group must ensure that their actions are consistent with corporate ethics and social common sense, and must observe the following action guideline to promote procurement activities that are fair and free of corruption.

  1. A person who is engaged in procurement activities shall follow any and all laws and regulations related to procurement processes. If any person becomes aware of any fact indicating noncompliance with the law, such person must immediately report this to his/her supervisor and take appropriate action.
  2. A person who is engaged in procurement activities shall not accept any kind of gifts from business partners, including summer and year-end gifts and presents from visitors. Similarly, he/she shall refuse any gifts offered as a gesture of courtesy, including gifts offered at times of celebration/condolence or gifts offered as a token of sympathy.
  3. A person who is engaged in procurement activities shall not acquire unlisted shares of business partners or acquire shares based on insider information.
  4. A person who is engaged in procurement activities shall not purchase products offered by business partners at a special discount, for his/her private use.
  5. A person who is engaged in procurement activities shall not have any business partners pay for his/her transportation/hotel/meals on his/her visit to meet with such partners.
  6. A person who is engaged in procurement activities shall not have any vested interest with partners in any form, including privately demanding payoffs from them.
  7. A person who is engaged in procurement activities shall not accept any inappropriate entertainment from business partners or provide such entertainment to business partners.

*"A person who is engaged in procurement activities" means any individual who is involved in transactions with business partners, including procurement, material management, purchasing, quality assurance, production technology, and development processes.

Supplier Code of Conduct

The Nitto Group addresses CSR-based procurement under the Basic Procurement Policy and Nitto Business Conduct Guidelines, with the aim of being trusted and chosen by all our stakeholders.

To achieve CSR-based procurement, the Nitto Group and our business partners must share values and undertake CSR activities through collaboration across the entire supply chain, and we believe this will lead to prosperous coexistence with our business partners. The expectations for partners are posted here as CSR procurement guidelines.

We ask for your understanding of our aims and that you promote CSR initiatives, including development with regard to your business partners.

"5. Supplier Code of Conduct" in the CSR Procurement Guidelines summarizes the standards of conduct and activities that we expect our partners to practice and comply with.

We ask that our partners comply with this Supplier Code of Conduct, and in order to ensure this commitment, we ask that they sign and submit a Code of Conduct Agreement Form.

When conducting business, Nitto Group will place our highest priority on partners who comply with our Supplier Code of Conduct. Additionally, we will fully support our partners in achieving initiatives based on this Code through CSR procurement assessment activities (self-assessments by partners, on-site surveys by Nitto Group, etc.). The Nitto Group reevaluates and terminates transactions with any supplier who fails to submit the Code of Conduct Agreement Form or cooperate with the support provided by the Nitto Group.

Green Procurement

Nitto Group believes that promoting green procurement and supplying environmentally friendly products are linked to contributing to biodiversity and the global environment. Green procurement cannot be realized solely by the initiatives of the Nitto group, but rather requires the cooperation of all partners comprising the supply chain. The Green Procurement Standards are a summary of the matters we, as the Procurement Department, request our partners to cooperate with.

Promotion Structure

Nitto Group places ESG (Environmental, Social, and Governance) at the core of its management, aiming to achieve a sustainable society. Balancing the resolution of social issues with the creation of economic value presents many challenges, and for this reason, we regard the promotion of ESG management as our top priority. To realize this ESG management, we have established a governance structure centered around the Management Strategy Meeting, with the President and CEO serving as the superintendent under the direction and supervision of the Board of Directors. The procurement department also operates in alignment with this direction, carrying out its activities under the guidance and supervision of the Board of Directors.

Procurement Department Structure

The procurement department‘s main responsibilities include sourcing raw materials and conducting purchasing activities, all while maintaining the quality of our products and services and improving cost efficiency. In addition, we actively strengthen partnerships and promote ESG programs. Specifically, we focus on green procurement aimed at reducing environmental impact, adherence to fair trade practices, and initiatives to improve working conditions. Through close engagement with our partners, we promote the development of a sustainable supply chain, ensuring overall sustainability. In order to drive these initiatives forward, the procurement department works closely not only with the procurement divisions of domestic business locations but also with those of our group companies and overseas offices. The procurement department plays a crucial role in driving our group's ESG goals, going beyond its traditional focus on cost efficiency. Through these efforts, we aim to contribute to the realization of a sustainable society and enhance long-term corporate value.
